These Terms of Service ("Terms") govern your use of services provided by Uniqoe Media ("Uniqoe Media," "we," "us," or "our"), including our performance marketing services and any reporting dashboard or tools we make available to you. By engaging our services or using our dashboard, you agree to these Terms.
1. Our services
Uniqoe Media provides performance marketing services, which may include Meta Ads management, Google Ads management, creative support, retention marketing, and technical/Shopify support, along with reporting dashboards that surface the performance of your advertising campaigns across connected platforms (Meta, Google Ads, Google Analytics, and Shopify).
2. Client authorization
To provide our services, you authorize Uniqoe Media to access your advertising and store accounts (including but not limited to Meta Business Manager, Google Ads, Google Analytics, and Shopify) to the extent needed to deliver the agreed scope of work. You represent that you have the authority to grant this access.
3. Account access and data
Our use of any data obtained through your connected accounts is governed by our Privacy Policy. You retain ownership of your own advertising and business data at all times; Uniqoe Media's access is solely to provide the agreed services.
4. Fees and payment
Fees, billing frequency, and payment terms are set out in the individual service agreement or statement of work between Uniqoe Media and the client, and are not otherwise specified by these general Terms.
5. Intellectual property
Reports, dashboards, strategy documents, and creative assets produced by Uniqoe Media specifically for a client become the client's property upon full payment, unless otherwise agreed in writing. Uniqoe Media retains ownership of its own internal tools, templates, and methodologies used to deliver services.
6. Confidentiality
Both parties agree to keep confidential any non-public business, performance, or strategic information shared in the course of the engagement, and not to disclose it to third parties without consent, except as required by law.
7. Termination
Either party may terminate the engagement per the notice period agreed in the applicable service agreement. Upon termination, Uniqoe Media will revoke its access to the client's connected accounts and, upon request, delete or return client data per our Data Deletion Instructions.
8. Limitation of liability
Uniqoe Media provides marketing and reporting services on a best-effort basis. We do not guarantee specific advertising outcomes, as these depend on factors outside our control, including platform algorithm changes, market conditions, and client-side product/pricing decisions. To the maximum extent permitted by law, Uniqoe Media's liability for any claim arising from these Terms is limited to the fees paid by the client for the services giving rise to the claim in the preceding [3/6] months.
9. Governing law
These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts of [Noida / Gautam Buddh Nagar, Uttar Pradesh].
10. Changes to these Terms
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
